 What is Crowd Lending Fund One, LLC?

Crowd Lending Fund One, LLC ("The Fund") was formed to provide investors with a short-duration, high-yield alternative to traditional fixed income investments. The Fund's objectives are to: (i) preserve investor capital (ii) provide quarterly cash flow to investors (with the option to reinvest) and (iii) achieve a return on investment as large as possible. The Fund invests in loans collateralized by commercial real estate, including single- and multi-family fix and flips, condominium conversions, industrial, commercial, new construction, multi-use and raw land. Loans are predominantly secured with first-lien mortgages against the aforementioned real estate and are supported by conservative loan-to-value ratios. The management of the Fund is vested with Crowd Lending, Inc. The Fund benefits from proprietary deal flow sourced by Crowd Lending, Inc. (www.CrowdLending.com) – a vertically integrated, lending platform and the manager of the Fund. Since its inception in 2016, the Fund has grown to have significant lending power and is currently targeting additional strategic partners to assist in growing and expanding the Fund.


 Who are Crowd Lending, Inc.’s Investors?

Crowd Lending, Inc.’s investors are accredited investors throughout the United States with similar goals. Our investors understand the potential of commercial real estate investments, but for a variety of reasons, have not had the opportunity or wherewithal to invest in real estate.

Your investment is initially posted on our platform (www.CrowdLending.com) for your review with your secure sign-in portal. At that time, you will be able to examine draft documents. All signatures are electronically implemented, with a fully-executed electronic version emailed to you and also stored in your investor dashboard.


 Are there investment limits with Crowd Lending, Inc.?

Our investment minimums begin at $50,000.00 USD per share. Please be aware that Crowd Lending, Inc. reserves the right to alter this at any time. There is no maximum investment amount with Crowd Lending, Inc.


 What types of investments does Crowd Lending, Inc offer?

Crowd Lending, Inc. makes investments in single and multifamily residential fix and flips, condominium conversions, commercial, industrial, new construction properties and multi-use and/or raw land available to you.  Who is responsible for decisions made in an LLC?

Crowd Lending, Inc. is the manager of the limited liability company that owns all the loans – Crowd Lending Fund One, LLC. Crowd Lending, Inc. is responsible for all of the day-to-day operational and lending decisions.


 Who is responsible for the management and maintenance of the asset?

Each asset is the responsibility of an experienced Borrower with the requisite background and experience on their asset class.


 What fees accompany investment with Crowd Lending, Inc.?

Unlike other real estate investment companies and money managers, Crowd Lending, Inc. doesn't charge the investors any fees.


 When will I see a return on my investment?

Your money will begin accruing interest immediately upon its deposit with Crowd Lending, Inc. The interest will accrue annually with returns paid quarterly. You will have the opportunity to compound your interest payments to increase the overall return on your initial investment by reinvesting instead of receiving quarterly distributions.


 Are Crowd Lending, Inc. investments risky?

Like all forms of investing, commercial real estate entails risk. As an Investor, you must be prepared for the potential loss of all of your investment. If this will render you unable to survive financially, or you are unwilling to accept the potential to lose the capital you have invested, we do not recommend you invest with us, or anyone else. With that fact established, we understand the value of total due diligence, deep underwriting of potential investments and other basics that reduce your risk. We are committed to offering only investments that meet our stringent criteria for information. Your investments will be backed by commercial real estate loans secured with predominantly first-lien mortgages and are supported by conservative loan-to-value ratios.


 Can you describe the Crowd Lending, Inc. investment process?

Prior to investing with Crowd Lending, Inc., you will have to provide evidence that you are an accredited investor as defined by the Securities and Exchange Commission. Once that occurs, we will coordinate the submission of your investment and accept payment via check or money order. Your money will then be used to issue loans to qualified commercial real estate borrowers with qualified projects. The minimum investment period is only one year.


 How will Crowd Lending, Inc. update me on my investment?

Our investors can use their desktop, tablet or smartphone to receive and review real-time updates to their investments in their online portfolio within our secure portal on www.CrowdLending.com. As an adjunct to real-time updating, we encourage our investors to post to the Q&A section of the ongoing investments.


 Quarterly Reports – What are they and why are they important?

Quarterly reports outline the objectives, strategy, and overall performance of The Fund’s investments. By having this information compiled and displayed, investors can easily compare current numbers to our historical overview. This comparison gives direct insight into our company’s performance and growth. Accompanied by graphs and spreadsheets for visual representation, the fact sheet is a one-page summary of The Fund’s progression throughout each quarter.

Investment Strategy

The Fund provides investors with a short duration, high-yield alternative to traditional fixed-income investments. The Fund invests in loans collateralized by mainly residential and commercial real estate. These loans are predominantly secured by first-lien mortgages. Why is this fact important? A first-lien loan is paid before all other liens, offsetting the risk of the loan and ensuring the lender will be able to recoup their money in any scenario. Because of these multiple layers of protection and our diversified portfolio, vetted by real estate veterans with a combined 40 years of industry experience, we have successfully provided investors with OVER our targeted 8% annualized distributions since 2017.

Investor Requirements

To be an accredited investor, a person must have an annual income exceeding $200,000, or $300,000 for joint income, for the last two years with expectation of earning the same or higher income in the current year. An individual must have earned income above the thresholds either alone or with a spouse over the last two years. The income test cannot be satisfied by showing one year of an individual's income and the next two years of joint income with a spouse. The exception to this rule is when a person is married within the period of conducting a test. A person is also considered an accredited investor if they have net worth exceeding $1 million, either individually or jointly with his spouse. The SEC also considers a person to be an accredited investor if they are a general partner, executive officer, director or a related combination thereof for the issuer of unregistered securities.

An entity is an accredited investor if it is a private business development company or an organization with assets exceeding $5 million. Also, if an entity consists of equity owners who are accredited investors, the entity itself is an accredited investor. However, an organization cannot be formed with a sole purpose of purchasing specific securities.

In 2016, the U.S. Congress modified the definition of an accredited investor to include registered brokers and investment advisors. Also, if a person can demonstrate sufficient education or job experience showing their professional knowledge of unregistered securities, they too can qualify to be considered an accredited investor.
